1. Digital product usage and license grant
This clause explains what the customer is—and is not—allowed to do with your product. Grant of license: Clarify that you are granting the customer a limited, non-exclusive, non-transferable license to use the product.Personal use only: For most basic sales, this license specifies that the customer can only use the product for their own personal, non-commercial purposes.Prohibited uses: Explicitly forbid copying, reselling, sharing, or redistributing the digital file. This is your primary defense against piracy and unauthorized use. Example language: "The Company grants you a single-use, non-exclusive, non-transferable, revocable license to access and use the Product. You are prohibited from modifying, publishing, transmitting, selling, or creating derivative works from the Product. The content is for your personal use only and not for resale."
2. Payment and delivery
This section addresses the transaction process, including payment and how the customer receives the product. Payment: State that you use a third-party payment processor and that the customer is responsible for providing valid payment information.Digital delivery: Explain how the digital product will be delivered, such as via an instant download link or an email with a download link sent within a specific timeframe. Example language: "After payment is successfully processed, the customer will receive a download link via email. Access to the product will be granted only after a valid payment has been confirmed."
3. No refunds policy
Because digital products are immediately accessible and cannot be "returned," a clear "no refunds" policy is common and highly recommended. State policy clearly: Explicitly state that due to the digital nature of the product, all sales are final and non-refundable.Address exceptions (if any): If you offer any exceptions, like a refund for a corrupted file, include that detail here. Example language: "Due to the immediate, digital nature of the product, all sales are final and non-refundable. Please read the product description carefully before completing your purchase."
4. Intellectual property ownership
This clause establishes your ownership of the content and prevents customers from claiming it as their own. Reiterate ownership: State that you own all intellectual property rights to the product, including copyrights and trademarks.Prohibit misuse: Explicitly prohibit customers from using your brand, logo, or other trademarks without your written permission. Example language: "The Product and all related materials are the sole property of [Your Company Name] and are protected by copyright. Your purchase of the Product does not grant you any ownership rights or rights to make unauthorized use of the content."
5. Disclaimer of warranties and limitation of liability
This protects you from legal claims by limiting your liability if a customer is unsatisfied with the product or suffers damages from using it. "As Is" basis: State that the product is provided "as is" and you do not make any guarantees about its suitability or a specific outcome.Limitation of liability: Limit the maximum amount of damages for which you can be held liable. Example language: "You agree to use the Product at your own risk. The Company does not provide any warranties, express or implied, regarding the Product. In no event shall the Company be liable for any damages, whether direct or indirect, arising from your use or inability to use the Product."
6. Governing law and dispute resolution
This clause specifies which jurisdiction's laws will govern the agreement and how legal disputes will be handled. Governing law: State the laws of the state where your business is based that will govern the contract.Dispute resolution: Specify how disputes will be handled, such as through arbitration or in a specific county's courts.
7. Privacy policy
While a separate document, your T&C should reference and link to your Privacy Policy, as you will likely be collecting personal data during the checkout process. Reference privacy policy: Include a clause noting that your Privacy Policy, which details how customer data is collected and used, is incorporated by reference. Example language: "Your use of this Product is also governed by our Privacy Policy, which is available on our website."
